Benefit Systems S.A., the creator of popular non-financial benefits, including MultiSport cards, entered social and environmental goals into the articles of association as an integral part of its business activities. It is an innovative initiative which is an expression of the company’s determination to continue its endeavours for the benefit of the society and sustainable development.

On August 11 this year Benefit Systems S.A. Supervisory Board adopted the uniform text of the company’s articles of association, thus completing the procedure of amending this document initiated by the resolution of the Ordinary General Meeting of June 29, 2022. Amendments to the Benefit Systems S.A. articles of association mean that the activities for the benefit of the society and sustainable development are not only an important element of the Benefit Systems Group’s mission but also one of its statutory goals. The new provisions indicate that as part of its operations Benefit Systems will strive to have a positive impact on the society, in particular on local communities, the natural environment, and all the company’s stakeholders.

– Amendments to the articles of association sanction the rules that guide us from the very beginning of Benefit Systems’ operations. The provisions we have introduced emphasise the essence of the company’s current and future activities for sustainable development and solving key social problems. We want our business to bring real support to communities and to be conducted with respect for the natural environment. We have the full support of our shareholders in this, as evidenced by the unanimous decision of the general meeting. We can already see tangible benefits resulting from taking the principles of sustainable development and the interests of our stakeholders into account – says Bartosz Józefiak, Management Board Member at Benefit Systems S.A.

– Within a dozen or so months, a company that is unable to prepare reliable and complete data in ESG areas will have problems not only with obtaining financing but also with selling its products or services, both in the B2B and B2C model. Therefore, I am very pleased that there has been an initiative on the Polish market to undertake obligations in this regard at the level of the company’s articles of association, which on the one hand will help the management board achieve goals not related to short-term profit, and on the other hand proves that shareholders understand the new trends – says Dr. Mirosław Kachniewski, President of the Polish Association of Listed Companies.

– Benefit Systems S.A. has introduced changes to its articles of association that are a pioneering solution on the Polish and Central European market. They correspond to the assumptions of the corporate governance model that includes a wide range of stakeholders (the so-called “stakeholder corporate governance”). Such a model is promoted and developed by B Lab, which issues B Corp certificates. Amendments to the articles of association also respond to the postulates of the European Union’s new regulations, which were developed under the so-called Green Deal (e.g., CSRD and CSDD directives). The proposed law assumes that this corporate governance model will be the target model in Europe in the near future.
